Terms of Service

These Terms of Service ("Terms") govern your access to and use of bizeract.com and the services offered by Bizeract ("we", "us", "our"). By using our website, submitting any form, or engaging us for a paid service, you agree to be bound by these Terms. If you do not agree, please do not use the site.
1. Who we are
Bizeract is a full-service agency providing finance & compliance, website development, digital marketing, analytics & data, and business automation services primarily to clients in India. We are registered in Chennai, Tamil Nadu, and operate under Indian law.
2. Scope of services
Our paid services are delivered under a separate engagement letter or statement of work (SOW) signed by both parties. That engagement letter defines the specific deliverables, timelines, fees, and terms for each project. In the event of any conflict between these Terms and a signed engagement letter, the engagement letter prevails for that engagement.

3. Fees and payment
- Fixed-fee engagements — the full fee is detailed in the SOW. Unless stated otherwise, 50% is invoiced on signing and 50% on delivery.
- Retainer engagements — invoiced monthly in advance.
- Time and materials — invoiced monthly based on hours worked at the agreed rate.
- GST — all fees are exclusive of GST unless stated otherwise. We charge GST at the prevailing rate on all invoices.
- Payment terms — invoices are due 7 days from issue. Late payments accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower.
- Third-party costs — platform fees (ad spend, hosting, SaaS tools) are passed through at cost and invoiced separately or directly paid by you.
4. Refund policy
We stand by the quality of our work. Our refund policy is as follows:
- GST registration and compliance services — we issue a full refund (minus government fees actually paid on your behalf) if your application is rejected because of an error on our part. Government rejections due to incomplete information supplied by the client are not refundable.
- Website and design services — after project kick-off, partial refunds are pro-rated against work completed. Once a milestone is delivered and approved, fees for that milestone are non-refundable.
- Marketing services (ads management) — management fees are non-refundable after the campaign has been launched. Ad spend paid to Google/Meta/LinkedIn is between you and the platform.
- Retainers — retainers can be cancelled with 30 days' notice. Fees already paid for the current billing cycle are non-refundable.
5. Service level expectations
Unless the SOW specifies otherwise:
- We respond to client emails and WhatsApp messages within 2 business hours during business hours (Mon–Sat, 9:30 AM – 7:00 PM IST).
- Status updates on active projects are provided at least weekly in writing.
- For GST filing engagements, we send reminders 10, 5, and 2 days before each due date.
- For analytics and automation projects, dashboards and workflows are monitored and supported during business hours.
6. Client responsibilities
For us to deliver, you agree to:
- Provide accurate information and any documents we reasonably request in a timely manner.
- Grant us the access (to accounts, platforms, tools) needed to do the work.
- Review and approve deliverables within 5 business days unless otherwise agreed. Unreviewed deliverables after 10 business days are deemed accepted.
- Pay invoices on time.
Delays caused by incomplete information, missing approvals, or outstanding invoices may extend project timelines without penalty to us.
7. Intellectual property
All content on bizeract.com (text, design, code, images, logos) is owned by Bizeract and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from it without our written permission.
For paid client work, ownership of final deliverables (e.g., a website codebase, a dashboard, designs) transfers to you upon full payment, subject to any third-party licences (e.g., stock images, fonts, SaaS subscriptions) which remain with their original licensors. We retain the right to showcase completed work in our portfolio and case studies unless you specifically request confidentiality in the SOW.
8. Confidentiality
We treat all non-public information you share with us as confidential. We will not disclose it to third parties except: (a) to our team members who need it to do the work, (b) with your consent, or (c) where required by law.
9. Warranties and disclaimers
We warrant that our services will be performed with reasonable skill and care and in accordance with applicable professional standards. Beyond this, the website, free tools, and content are provided "as is" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Free tools (SIP calculator, EMI calculator, income tax calculator, etc.) are estimators for educational purposes and should not be relied on for final tax or investment decisions without professional advice.
10. Limitation of liability
To the maximum extent permitted by law, Bizeract's total aggregate liability for any claim arising out of or relating to these Terms or our services is limited to the fees actually paid by you to us in the 6 months immediately preceding the event giving rise to the claim.
We are not liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, or lost data — even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud, gross negligence, or wilful misconduct.
11. Indemnity
You agree to indemnify and hold Bizeract harmless from any claim brought against us by a third party arising from your misuse of our services, your breach of these Terms, or your infringement of a third party's rights.
12. Termination
You may terminate a service engagement as described in the relevant SOW. We may terminate an engagement immediately if you materially breach these Terms or the SOW, fail to pay invoices, or engage in unlawful or abusive conduct. Termination does not relieve either party of obligations accrued before termination, including payment for work already performed.
13. Dispute resolution
Any dispute arising from or relating to these Terms shall first be attempted to be resolved in good faith through discussion. If unresolved within 30 days, the dispute shall be referred to arbitration in Chennai, Tamil Nadu under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. Subject to arbitration, the courts at Chennai shall have exclusive jurisdiction.
14. Governing law
These Terms are governed by and construed in accordance with the laws of India.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date indicates when the most recent change was made. Continued use of the website after changes means you accept the revised Terms. For material changes affecting existing clients, we will notify you via email before the change takes effect.
